These terms and conditions serve as a binding agreement between Learnomate and its clients, ensuring transparency and mutual understanding throughout our collaboration.

1. Scope of Services

1.1 Service Description

  • Learnomate provides specialized IT services tailored to client requirements.
  • Service specifics will be outlined in individual agreements, including project scope, deliverables, and timelines.

1.2 Modifications to Services

  • Learnomate reserves the right to modify or discontinue services due to unforeseen circumstances, technical issues, or changes in business operations.
  • Any such changes will be communicated in advance.

2. Client Responsibilities

2.1 Timely Communication

  • Clients must provide accurate, complete, and timely information necessary for service delivery.
  • Delays caused by the client’s failure to provide required inputs will not be the responsibility of Learnomate.

2.2 Adherence to Deadlines

  • Clients are expected to approve deliverables and fulfill payment obligations within the agreed deadlines.

2.3 Compliance with Laws

  • Clients must ensure their use of our services complies with all applicable local, national, and international laws and regulations.

3. Payment Terms

3.1 Pricing and Invoices

  • Service fees are outlined in individual contracts or proposals and are subject to applicable taxes.
  • Invoices are generated as per the agreed payment milestones.

3.2 Payment Methods

  • Payments can be made via bank transfer, credit card, or other approved methods.
  • Learnomate offers flexible payment options, including EMI or installment plans, for eligible clients.

3.3 Late Payments

  • Late payments may result in a suspension of services or a late fee of 2% per month on the overdue amount.

4. Intellectual Property Rights

4.1 Ownership of Deliverables

  • All deliverables created by Learnomate during the service engagement remain the intellectual property of Learnomate until full payment is received.
  • Once payment is cleared, ownership of deliverables will be transferred to the client as per the agreement.

4.2 Use of Third-Party Tools

  • Learnomate may utilize third-party software, frameworks, or platforms to deliver services.
  • Clients are responsible for adhering to the licensing terms of any third-party tools used in their project.

5. Confidentiality

5.1 Protection of Information

  • Learnomate agrees to maintain strict confidentiality of all client information shared during the service engagement.
  • Clients are also expected to maintain confidentiality of Learnomate’s proprietary processes and technologies.

5.2 Non-Disclosure Agreement (NDA)

  • For sensitive projects, both parties may sign an NDA to ensure additional confidentiality measures.

6. Termination of Services

6.1 Termination by Client

  • Clients may terminate the service agreement by providing 30 days’ written notice.
  • Refunds, if applicable, will be governed by Learnomate’s Refund Policy.

6.2 Termination by Learnomate

  • Learnomate reserves the right to terminate the agreement if:
    • The client violates any terms of this agreement.
    • Payments are not made within the stipulated timeframe.
    • The client engages in illegal activities.

7. Limitation of Liability

  • Learnomate is not liable for any indirect, incidental, or consequential damages arising from the use of its services.
  • The maximum liability of Learnomate is limited to the amount paid by the client for the specific service.

8. Dispute Resolution

8.1 Governing Law

  • These terms are governed by the laws of India, and any disputes will be subject to the jurisdiction of courts in Pune, Maharashtra.

8.2 Arbitration

  • In case of disputes, both parties agree to resolve matters amicably through arbitration before taking legal action.

9. Amendments to Terms

  • Learnomate reserves the right to update these terms and conditions at any time.
  • Clients will be notified of significant changes via email or the company website.

10. Indemnification

  • Clients agree to indemnify Learnomate against any claims, losses, or damages arising from the misuse of our services or violation of these terms.
